Terms of Service

These Terms of Service (the “Terms”) govern your use of the DocBiz platform and the services we provide. Please read them carefully. If you do not agree, do not use the Service.

1.Acceptance

By creating an account, purchasing a service, or otherwise using the DocBiz platform (the “Service”), you agree to these Terms. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to both you and the entity.

2.Not legal, tax, or accounting advice

DocBiz provides software, document workflows, and self-service filing tools. We are not a law firm, accounting firm, or fiduciary, and we do not provide legal, tax, or investment advice. Information made available through the Service is for general informational purposes only and is not a substitute for advice from a licensed professional. Where work is performed by independent attorneys, accountants, or other specialists, that work is governed by their own engagement terms.

3.Services and pricing

DocBiz offers a range of services with different fee structures, including (without limitation) entity formation, registered agent service, BOI reporting, EIN preparation, annual renewals, trust setup, holding-company structures, Cayman Islands trust services, trademarks, and platform subscriptions. Pricing varies by service, jurisdiction, entity type, tier, and add-ons.

Current prices for each service are shown on the corresponding service page or the pricing page at the time of checkout. Government and state filing fees are billed at the rate then charged by the relevant authority and are passed through to you.DocBiz may change prices prospectively; the price applicable to any order is the price displayed to you at the time you authorize that order.

4.Authorization and orders

When you authorize a service, you authorize DocBiz and its agents to take the actions reasonably necessary to perform that service, including charging your payment method, preparing and submitting filings, paying government and third-party fees on your behalf, and communicating with the relevant agencies and third parties on your behalf. Saved-payment-method authorizations (including auto-renewals) remain in effect until you disable them.

5.No refunds once services begin

All services are non-refundable once work has begun.

Work is considered to have begun when DocBiz or its agents take any of the following actions for your order: drafting documents; opening the matter with a paralegal, attorney, or specialist; preparing or submitting a filing; paying a state or government fee on your behalf; retaining a registered agent; drafting trust deeds, letters of wishes, or corporate governance documents; or otherwise expending professional time on your matter.

Government filing fees, state fees, registered-agent fees, third-party service fees, and any out-of-pocket expenses paid on your behalf are never refundable regardless of order status, because those amounts are paid to and retained by third parties.

Subscription plans renew automatically until cancelled. Cancellation stops future renewals; partial-period subscription fees are not refunded. Promotional credits and referral commissions are subject to their own terms and are not redeemable for cash.

If you believe a billing error has occurred — for example, a duplicate charge or a charge for a service you did not authorize — contact us at info@docbiz.com within 30 days of the charge and we will investigate in good faith.

6.Your responsibilities

You are responsible for the accuracy and completeness of the information you provide, including names, addresses, ownership data, beneficial-ownership information, and tax identifiers. DocBiz relies on the information you submit and is not liable for filings that are rejected, delayed, or rendered incorrect because of inaccurate or incomplete inputs. You are responsible for meeting all deadlines that apply to your entity, whether those deadlines arise before, during, or after your engagement with us.

7.Account security

You are responsible for safeguarding your credentials and for all activity under your account. Notify us at info@docbiz.com immediately if you suspect unauthorized access.

8.Acceptable use

You may not use the Service to violate any law, infringe any right, submit false or misleading information to a government authority, evade sanctions, launder funds, or interfere with the operation of the platform. We may suspend or terminate accounts that violate these Terms.

9.Third-party services and government agencies

Some services rely on third parties — for example, state filing offices, the Cayman Islands Registrar, the Financial Crimes Enforcement Network, payment processors, document storage providers, and registered-agent providers. DocBiz is not responsible for outages, delays, errors, rejections, or fee changes caused by those third parties. Filing turnaround times are estimates and are not guaranteed.

10.Confidentiality and privacy

Information you upload is treated as confidential and used to deliver the Service. Our handling of personal data is described in our Privacy Policy. You consent to our processing your data as described there.

11.Intellectual property

The platform, including its software, design, templates, and content (excluding your data), is owned by DocBiz or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You retain ownership of the documents and information you submit, and you grant DocBiz a license to use them solely to operate and improve the Service and to perform the services you have ordered.

12.Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. DocBiz does not warrant that any filing will be accepted, that the Service will be uninterrupted or error-free, or that any particular legal or tax outcome will be achieved.

13.Limitation of liability

To the fullest extent permitted by law, DocBiz’s total liability arising out of or related to the Service is limited to the amounts you paid to DocBiz for the specific service that gave rise to the claim during the 12 months preceding the event. DocBiz is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost goodwill, or lost data.

14.Indemnification

You agree to defend, indemnify, and hold DocBiz harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your data, or your violation of these Terms.

15.Termination

You may stop using the Service at any time. We may suspend or terminate your account for non-payment, fraud, abuse, or violation of these Terms. Termination does not entitle you to a refund of fees already paid, consistent with Section 5.

16.Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date and, where appropriate, communicated by email or in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17.Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties agree to exclusive personal jurisdiction in the state and federal courts located in Delaware for any dispute that is not subject to mandatory arbitration under applicable law.
