Company Formation Agreement

Version 1.0. This agreement applies when DocBiz forms an LLC, corporation, or other company for you. It is separate from the Terms of Service for your workspace.

Docbiz LLC | 10800 Biscayne Blvd #820, Miami, FL 33161 | Info@docbiz.com

Workspace Terms of Service

1.Parties and order

This agreement is between Docbiz LLC (DocBiz) and the individual accepting it (you), effective when accepted. It applies to the company name, entity type, formation state, filing details, services, and itemized fees shown in your order and final filing summary. Those records are incorporated into this agreement. You accept personally as the customer and authorized applicant, even though the proposed company does not yet exist.

2.Information and authority

You confirm that you reviewed the final filing summary and all information you supplied is true, accurate, complete, and not misleading. This includes names, addresses, owners, managers, officers, registered agent details, and required consents. You have authority from the necessary participants to request formation and provide their information. You will promptly report changes or errors before submission and obtain required third-party signatures and consents.

3.Limited filing authorization

You authorize DocBiz to enter and submit the information and documents you approve, communicate with the relevant agencies about that submission, and pay the disclosed filing fees on your behalf. Where permitted, DocBiz may act as organizer, incorporator, or authorized representative solely to submit the approved filing; that role grants no ownership or ongoing management authority. This is not a general power of attorney. DocBiz may not sign your name, make tax elections, or materially change your instructions without a separate valid authorization. Additional agency-specific authorizations may be required.

4.Nonattorney administrative service

DocBiz is not a law firm, does not provide legal or tax advice, and does not create an attorney-client relationship. You select the entity type, jurisdiction, ownership, and other legal or tax choices. DocBiz provides administrative processing and submission based on your instructions. We recommend a licensed attorney for legal advice and a qualified tax professional for tax advice.

5.Lawful purpose and ongoing compliance

You confirm that formation is for a lawful purpose and agree to comply with applicable federal, state, and local laws. You are responsible for business activities, required licenses and permits, taxes, ownership reporting where applicable, annual reports, registered agent maintenance, and other ongoing obligations. Formation alone does not authorize every activity or satisfy every requirement. Ongoing services are included only if expressly purchased. DocBiz remains responsible for its own legal duties.

6.Review public records and results

You approve the final filing summary before submission and understand that filed information may become public. Agencies control acceptance and timing. DocBiz does not guarantee approval, name or trademark rights, tax treatment, bank accounts, or a particular liability-protection outcome. Correcting customer-approved information may require another filing and disclosed fees. DocBiz will address errors caused by its failure to follow approved instructions without charging another service fee for that correction.

7.Fees cancellation and responsibility

You authorize only the itemized charges shown before acceptance. You may cancel by emailing Info@docbiz.com before the filing process has started for a full refund. Once the filing process has started, no refunds will be issued, except as required by applicable law. Submitted filings may require a separate correction or dissolution. You are responsible for losses caused by your false information, lack of authority, or unlawful activities; this does not excuse DocBiz negligence, misconduct, or nonwaivable duties.

8.Acceptance and governing terms

Florida law applies, subject to mandatory protections where you live. Invalid provisions do not invalidate the remainder. This agreement controls formation authorization; separately accepted DocBiz Terms govern other service matters without overriding mandatory rights. By selecting I agree, signing electronically, or signing this agreement with the order attached, you approve the identified order and final filing summary and agree to these terms. The acceptance record identifies you, the order, approved filing version, and acceptance date. No authorization extends beyond the information and services you approved.
